Welcome to Thareja AI. These Terms of Use ("Terms") govern your access to and use of the services provided by Thareja Technologies Inc. ("Thareja," "we," "us," or "our") through thareja.ai and its associated subdomains. By accessing or using any of our Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

1. Definitions

"Agreement" means these Terms of Use, including our:

Disclaimer,

and any other electronic or written agreement, Order Form, or Statement of Work applicable to your use of the Thareja AI platform. These documents collectively govern your access to and use of the Services and may be updated from time to time.

"Services" means all products, features, tools, and platforms operated by Thareja Technologies Inc., including but not limited to:

• Thareja Work — time tracking, project management, payroll, workforce management, screenshot monitoring, GPS sign-in, apps and URL tracking, automated timesheets, global payments, and contractor-of-record services;

• AI Assistant (chat.thareja.ai) — unified AI chat interface providing access to multiple third-party AI models, image generation, audio transcription, file uploads, web search, team collaboration, reusable personas, and model switching;

• Magic Agent (magicagent.thareja.ai) — no-code AI chatbot builder for lead capture, customer engagement, and automation across website chat, phone, SMS, WhatsApp, social media, and CRM integrations;

• Magic Reel (magicreel.thareja.ai) — AI-powered real estate video creation tool for generating listing videos from uploaded photos or imported listing data, with AI enhancement, smart captions, and built-in editing.

"Platform" means the websites, applications, APIs, and any other interfaces through which the Services are made available.

"Content" means any data, text, images, video, audio, prompts, AI-generated outputs, chatbot configurations, listing media, timesheets, reports, or other materials created, uploaded, submitted, or generated through the Services.

"AI Output" means any text, image, video, audio, or other content generated by artificial intelligence models through the Services, including responses from AI Assistant, chatbot replies from Magic Agent, and videos produced by Magic Reel.

"User Content" means any Content that you upload, submit, or input into the Services, including but not limited to prompts, images, documents, listing photos, chatbot training data, and employee or contractor information.

"Usage Limits" means the token allocations, message caps, video credits, seat counts, and other quantitative restrictions associated with your subscription plan.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. If you are under 18, you may not use the Services. We reserve the right to request verification of your age or identity at any time.

3. Account Registration and Security

To access the Services, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at legal@thareja.ai if you become aware of any unauthorized use of your account.

You may not share account credentials across multiple individuals unless your subscription plan explicitly supports team access. Each team member added to a plan must have their own seat or user license as required by the applicable plan.

4. Platform Use and Description of Services

The Thareja AI Platform provides a suite of products designed for workforce management, AI-powered communication, automated customer engagement, and content creation.

4.1 Thareja Work. Thareja Work is a workforce management platform offering time tracking, project management, payroll processing, and global contractor management. Features include screenshot monitoring, GPS-based sign-in, application and URL activity tracking, automated timesheet generation, and global payment processing. The Global Workforce tier operates as a contractor-of-record, facilitating compliant engagement of international contractors on your behalf. By using Thareja Work, you acknowledge and agree that monitoring features (including screenshots and activity tracking) will be disclosed to and consented to by all monitored individuals in accordance with applicable law.

4.2 AI Assistant. AI Assistant provides a unified chat interface with access to over 50 third-party AI models, including models from OpenAI, Anthropic, Google, xAI, Meta, and others. Features include text generation, image generation, audio transcription, file analysis, web search, team collaboration workspaces, reusable personas, and the ability to switch between models. AI Assistant acts as an interface layer; the underlying AI models are owned and operated by their respective providers.

4.3 Magic Agent. Magic Agent is a no-code chatbot builder that enables you to create and deploy AI-powered chatbots for lead capture, customer support, and workflow automation. Chatbots may be deployed across website chat, phone, SMS, WhatsApp, social media, and integrated with third-party services including Stripe and Zendesk. You are solely responsible for the configuration, behavior, and outputs of any chatbot you create and deploy using Magic Agent.

4.4 Magic Reel. Magic Reel is an AI-powered video creation tool designed for real estate professionals. You may upload listing photos or import listing data to generate professional listing videos with AI-enhanced visuals, smart captions, and built-in editing tools. Videos are rendered at up to 1080p resolution and are watermark-free on paid plans.

5. Prohibited Activities

You agree not to use the Services to:

5.1 General Prohibitions.

• Violate any applicable local, state, national, or international law or regulation;

• Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party;

• Transmit any viruses, malware, or other harmful code;

• Attempt to gain unauthorized access to any part of the Services, other accounts, or any systems or networks connected to the Services;

• Interfere with or disrupt the integrity or performance of the Services;

• Use the Services to engage in fraud, deception, or misleading practices;

• Resell, sublicense, or redistribute access to the Services without our prior written consent;

• Use automated scripts, bots, or scrapers to access the Services except through our published APIs and within documented rate limits.

5.2 AI-Specific Prohibitions.

• Use any AI-powered Service to generate content that is illegal, harmful, abusive, threatening, defamatory, or that promotes violence, discrimination, or hatred;

• Use AI outputs to create deepfakes or synthetic media intended to deceive, defraud, or harm any person;

• Deploy chatbots through Magic Agent that impersonate real individuals, government entities, law enforcement, or emergency services without clear and prominent disclosure that the user is interacting with an AI;

• Use AI outputs from the Services to train, fine-tune, or develop competing AI models or services;

• Systematically extract, scrape, or harvest AI outputs for the purpose of building datasets or derivative products;

• Attempt to circumvent, manipulate, or exploit Usage Limits, including token caps, message quotas, or video credits, through any technical means;

• Use AI Assistant or Magic Agent to generate content that violates the acceptable use policies of the underlying third-party AI model providers;

• Submit prompts or inputs designed to extract system prompts, model weights, or proprietary configurations from any AI model accessible through the Services.

5.3 Thareja Work Prohibitions.

• Use Thareja Work monitoring features (including screenshot capture, GPS tracking, and activity monitoring) in violation of applicable employment or privacy laws;

• Manipulate or falsify time tracking data, screenshots, GPS records, or activity logs;

• Use the global payments or contractor-of-record features to facilitate money laundering, sanctions evasion, or tax fraud;

• Engage contractors through the platform in a manner that misclassifies their employment status under applicable law.

5.4 Magic Reel Prohibitions.

• Upload images to which you do not hold the necessary rights, licenses, or permissions;

• Use Magic Reel to create videos containing copyrighted music, images, or other media without proper authorization;

• Import listing data or photos from third-party platforms in violation of those platforms' terms of service;

• Generate videos that contain false, misleading, or deceptive representations of real estate properties.

5A. SMS Terms

When you use SMS features through Magic Agent or any other Service, the following additional terms apply:

• You consent to receive SMS messages from Thareja Technologies Inc. related to your use of the Services, including transactional messages, alerts, and notifications.

• Message and data rates may apply. Message frequency varies based on your usage and configuration.

• You may opt out of SMS messages at any time by replying STOP to any message. Reply HELP for assistance.

• We will not share your phone number or SMS opt-in data with third parties for their marketing purposes.

• SMS features are available to U.S. and Canadian phone numbers. Carrier support may vary.

• By enabling SMS features in Magic Agent chatbots, you represent that you have obtained all necessary consents from recipients in accordance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any other applicable regulations.

5B. Security and Responsible Disclosure

Thareja Technologies Inc. does not operate a public bug bounty program or otherwise offer compensation for the identification of security vulnerabilities.

If you believe you have discovered a security vulnerability in any Thareja service, you may report it to security@thareja.ai. We appreciate responsible disclosure and will make reasonable efforts to acknowledge receipt of legitimate reports. However:

• Submission of a vulnerability report does not create any obligation on the part of Thareja to provide monetary compensation, credit, or any other form of reward.

• You must not exploit, publicly disclose, or share any vulnerability before Thareja has had a reasonable opportunity to investigate and address it.

• You must not access, modify, or delete data belonging to other users, or intentionally degrade the performance or availability of any Thareja service, in the course of security research.

• Automated vulnerability scanning, penetration testing, or security testing of Thareja systems is prohibited without our prior written authorization.

• Any security research conducted without prior written authorization is performed at your own risk and may violate applicable law.

Thareja reserves the right to take legal action against any individual who exploits a vulnerability, conducts unauthorized testing, or engages in any activity that compromises the security, integrity, or availability of our services or our users' data.

6. Data, Privacy, and Security

6.1 Privacy Policy. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference.

6.2 User Content and Data. You retain ownership of all User Content you submit to the Services. By submitting User Content, you grant Thareja Technologies Inc. a limited, non-exclusive, worldwide license to use, process, store, and display your User Content solely to the extent necessary to provide, maintain, and improve the Services.

6.3 AI Prompts and Inputs. Prompts, instructions, and other inputs you provide to AI-powered Services may be processed by third-party AI model providers. We do not use your prompts or inputs to train our own models or the models of third-party providers, except in aggregated and anonymized form for service improvement purposes. However, third-party AI model providers may have their own data practices, and we encourage you to review their respective terms and privacy policies.

6.4 Uploaded and Generated Content. Files you upload (including images, documents, audio, and listing data) and Content generated through the Services (including AI outputs and videos) are stored in accordance with our data retention policies. You may delete your Content at any time through the applicable Service interface, subject to reasonable backup and archival retention periods.

6.5 Thareja Work Data. Employee and contractor data processed through Thareja Work, including timesheets, screenshots, GPS data, activity logs, and payroll information, is treated as confidential and processed in accordance with our Privacy Policy and any applicable Data Processing Agreement. If you use the Global Workforce contractor-of-record features, we may process contractor personal data as necessary to fulfill our obligations as contractor-of-record.

6.6 Security. We implement commercially reasonable technical and organizational measures to protect your data. However, no method of transmission over the internet or electronic storage is completely secure, and we cannot guarantee absolute security.

7. Ownership and Intellectual Property

7.1 Thareja IP. The Services, including all software, designs, trademarks, logos, and documentation, are owned by Thareja Technologies Inc. or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.

7.2 User Content. You retain all rights in your User Content. We claim no ownership over the prompts you write, the images you upload, the chatbot configurations you build, or the listing data you provide.

7.3 AI-Generated Outputs. AI Outputs generated through the Services are provided to you for your use subject to these Terms. You are responsible for ensuring that your use of AI Outputs complies with applicable law. Please note that AI Outputs may not be eligible for copyright protection under current law in certain jurisdictions, as copyright generally requires human authorship. We make no representations regarding the copyrightability or exclusivity of AI Outputs.

7.4 Third-Party AI Models. AI Assistant and other AI-powered Services provide access to models owned and operated by third parties. Your use of outputs from these models is additionally subject to the terms, acceptable use policies, and licensing conditions imposed by those third-party providers. In the event of a conflict between these Terms and a third-party model provider's terms regarding the use of that provider's outputs, the more restrictive terms shall apply.

7.5 Feedback. If you provide feedback, suggestions, or ideas about the Services, you grant us an unrestricted, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without obligation to you.

8. AI-Generated Content Disclaimer

8.1 No Guarantee of Accuracy. AI Outputs are generated by third-party machine learning models and are provided strictly on an "as-is" basis. We do not guarantee the accuracy, completeness, reliability, or appropriateness of any AI Output. AI models may produce outputs that are incorrect, misleading, biased, or otherwise unsuitable for your intended purpose.

8.2 User Responsibility. You are solely responsible for reviewing, verifying, and validating all AI Outputs before relying on them or distributing them to others. This includes, without limitation, AI-generated text from AI Assistant, chatbot responses delivered through Magic Agent, and videos produced by Magic Reel.

8.3 No Professional Advice. AI Outputs do not constitute legal, medical, financial, tax, or other professional advice. You should consult qualified professionals before making decisions based on AI-generated content.

8.4 Content Moderation. We may, but are not obligated to, monitor or filter AI Outputs for harmful, illegal, or policy-violating content. We reserve the right to restrict or disable access to AI features if we determine, in our sole discretion, that they are being used in violation of these Terms.

9. Subscription Plans, Usage Limits, and Billing

9.1 Plans and Pricing. The Services are offered under various subscription plans with different features, Usage Limits, and pricing as described on our website. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

9.2 Usage Limits. Each subscription plan includes specific Usage Limits, which may include token allocations, message caps, video credits, seat counts, and storage quotas. Usage Limits are measured per billing cycle (monthly or annual, as applicable).

9.3 No Rollover. Unused tokens, messages, video credits, or other Usage Limit allocations do not roll over to subsequent billing cycles unless explicitly stated otherwise in your plan terms.

9.4 Overages. If you exceed your plan's Usage Limits, access to the applicable features may be restricted until the next billing cycle begins or until you upgrade to a higher-tier plan. We will make reasonable efforts to notify you as you approach your limits.

9.5 Transaction Fees. Certain features, including global payment processing through Thareja Work, are subject to transaction fees (currently 3.9% + $1 per transaction). Transaction fees are in addition to subscription fees and are subject to change with notice.

9.6 Billing and Renewal. Subscriptions are billed in advance on a recurring basis (monthly or annually). Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time through your account settings.

9.7 Refunds. Subscription fees are generally non-refundable. If you cancel mid-cycle, you will retain access to the Services through the end of your current billing period.

10. Free Trials and Beta Features

10.1 Free Trials. We may offer free trials of paid Services at our discretion. At the end of a free trial, your subscription will convert to a paid plan unless you cancel before the trial period expires. We will notify you before any charges are applied.

10.2 Free Tiers. Certain Services, including the Magic Agent Free plan, are available at no cost with limited functionality and Usage Limits. Free-tier access may be modified, suspended, or discontinued at any time without notice.

10.3 Beta Features. We may make certain features, products, or Services available in "beta," "preview," "early access," or similar pre-release status. Beta features are provided for evaluation purposes and may be unstable, incomplete, or subject to change. Beta features are provided "as-is" without warranty of any kind, and we may discontinue any beta feature at any time without liability to you. Your use of beta features may be subject to additional terms provided at the time of access.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, THAREJA TECHNOLOGIES INC. DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI OUTPUT OR OTHER CONTENT GENERATED THROUGH THE SERVICES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THAREJA TECHNOLOGIES INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE ONE (1) MONTH PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Thareja Technologies Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your deployment of chatbots through Magic Agent; (f) your use or distribution of AI Outputs; or (g) any dispute between you and a third party arising from your use of the Services, including disputes with employees, contractors, or end users.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact us at legal@thareja.ai and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding.

14.3 Class Action Waiver. YOU AND THAREJA TECHNOLOGIES INC. AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14.4 Exceptions. Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

15. Termination

15.1 Termination by You. You may terminate your account at any time by canceling your subscription and contacting us at legal@thareja.ai.

15.2 Termination by Us. We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users or the Services, or for any other reason.

15.3 Effect of Termination. Upon termination, your right to use the Services ceases immediately. We may delete your account data after a reasonable retention period following termination. Sections that by their nature should survive termination (including Sections 7, 8, 11, 12, 13, and 14) shall survive.

16. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Platform at least 30 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

17. General Provisions

17.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions.

17.2 Entire Agreement. These Terms, together with the other documents that form the Agreement, constitute the entire agreement between you and Thareja Technologies Inc. regarding the Services and supersede all prior agreements and understandings.

17.3 Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions shall remain in full force and effect.

17.4 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.5 Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

17.6 Force Majeure. We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or third-party service outages.
